Implementation of SRD2 provisions on proxy advisors and the investment chain

Reasons for publication

On 3 October 2022, the European Commission requested ESMA and the EBA to provide input to help it prepare a report on certain provisions of Directive (EU) 2017/828 amending Directive 2007/36/EC as regards the encouragement of long-term shareholder engagement (the second Shareholder Rights Directive – SRD2). It did so on the basis of Articles 3f(2) and 3k(2) of that Directive (references to the numbering of Directive 2007/36/EC, as amended). Under these provisions, the Commission is to submit a report on the implementation of Article 3j(regarding proxy advisors) and Chapter Ia (concerning the investment chain) of the SRD2 to the European Parliament and the Council in close cooperation with ESMA and, as far as Chapter Ia is concerned, the EBA.
