Final report on EBA Guidelines on the minimum content of the governance arrangements for issuers of asset-referenced tokens

Sound internal governance arrangements are fundamental if issuers of asset reference tokens (ARTs) are to operate well as part of the financial system. Regulation (EU) 2023/1114 sets out governance requirements for issuers of ARTs and, in particular, stress the responsibility of the management body to ensure sound governance arrangements, including a sound risk strategy, risk culture and risk management framework.

To foster the implementation of sound internal governance arrangements, processes and mechanisms within the EU for issuers of ARTs, in line with the requirements introduced by Regulation (EU) 2023/2034, the European Banking Authority (EBA), in cooperation with the European Securities and Market Authority (ESMA) and the European Central Bank, is mandated by Article 34(13) of (EU) 2019/2034 to develop guidelines in this area.
